Your continued use of our website constitutes your acceptance of these terms as they may be updated from time to time.

2. Services

ENGAGE EVOLUTION LLC provides consulting and technology-related services including but not limited to:

  • IT consulting and infrastructure advisory
  • CRM integrations (Salesforce, HubSpot, Microsoft Dynamics)
  • Marketing automation implementation and optimization
  • Cloud solutions architecture and migration
  • API development and enterprise system integrations
  • Analytics consulting and business intelligence
  • Software integration and custom development
  • Customer engagement platform implementation
  • AI workflow automation and optimization
  • Digital transformation strategy and execution

The scope of services for each engagement is defined in individual service agreements, statements of work, or project contracts.

3. No Guarantee Of Results

ENGAGE EVOLUTION LLC provides consulting and implementation services based on industry best practices and our professional expertise. However, business outcomes, performance improvements, and results may vary significantly depending on:

  • Client infrastructure and existing technology stack
  • Market conditions and competitive landscape
  • Implementation quality and client team adoption
  • User adoption rates and organizational change management
  • Third-party system performance and availability
  • Data quality and completeness
  • Timeline adherence and resource availability

We do not guarantee specific business outcomes, revenue increases, cost savings, or performance metrics unless explicitly stated in a written agreement.

4. Intellectual Property

All content, branding, graphics, designs, code, architecture concepts, diagrams, documentation, methodologies, frameworks, and materials created by ENGAGE EVOLUTION LLC remain the exclusive property of ENGAGE EVOLUTION LLC unless otherwise agreed in writing. This includes:

  • Website content, design, and visual elements
  • Proprietary methodologies and consulting frameworks
  • Custom code and software developed by our team
  • Architecture diagrams and technical documentation
  • Marketing materials and brand assets
  • Training materials and educational content

Client-specific deliverables and work products may be transferred to the client upon full payment as specified in the applicable service agreement. Any pre-existing intellectual property of ENGAGE EVOLUTION LLC remains our property.

5. Website Usage Restrictions

Users of this website agree not to engage in any of the following prohibited activities:

  • Attempting unauthorized access to any part of our systems or infrastructure
  • Disrupting or interfering with website services or server performance
  • Copying, reproducing, or distributing proprietary content without permission
  • Distributing malicious software, viruses, or harmful code
  • Interfering with other users' access to the website
  • Reverse engineering or attempting to extract source code
  • Using automated bots or scrapers to collect data

6. Third-Party Platforms

Our services may involve integrations with and use of third-party platforms and services including but not limited to Salesforce, HubSpot, AWS, Braze, Shopify, Google, Microsoft, Snowflake, Segment, Klaviyo, and others. ENGAGE EVOLUTION LLC is not responsible for:

  • Third-party platform outages, downtime, or service disruptions
  • Changes to third-party APIs, pricing, or terms of service
  • Data breaches or security incidents on third-party platforms
  • Performance limitations of third-party systems
  • Compatibility issues arising from third-party updates

Clients are responsible for maintaining valid licenses and subscriptions for all third-party platforms required for their projects.

7. Payment Terms

All invoices and payments are subject to the following terms:

  • Invoices must be paid according to the terms specified in the applicable service agreement
  • Standard payment terms are Net 15 unless otherwise agreed in writing
  • Late payments may incur interest charges as specified in the service agreement
  • Project work may be paused for accounts with outstanding balances exceeding 30 days
  • All fees are quoted in US Dollars unless otherwise specified
  • Taxes and applicable fees are the responsibility of the client

Disputed invoices must be communicated in writing within 10 business days of receipt. Failure to dispute within this period constitutes acceptance of the invoice.

8. Project Delays

Client-side delays may affect project timelines and deliverables. ENGAGE EVOLUTION LLC shall not be held responsible for delays caused by:

  • Missing approvals, sign-offs, or decision-making delays
  • Unavailable client resources, personnel, or subject matter experts
  • Incomplete, inaccurate, or late delivery of required assets
  • Changes in project scope or requirements mid-engagement
  • Third-party vendor delays outside our control
  • Client system access or credential provisioning delays

Significant client-side delays may result in project rescheduling, additional fees, or contract modifications.

9. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary business and technical information shared during the course of the engagement. Confidential information includes:

  • Business strategies, plans, and financial information
  • Technical architectures and system configurations
  • Customer data and personally identifiable information
  • Proprietary methodologies and trade secrets
  • Pricing structures and commercial terms

Confidentiality obligations survive the termination of any service agreement for a period of three (3) years unless otherwise specified.

10. Limitation Of Liability

To the maximum extent permitted by applicable law, ENGAGE EVOLUTION LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or business information
  • Business interruption or downtime costs
  • Costs of substitute services or technology
  • Reputational harm or loss of goodwill

Our total aggregate liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ENGAGE EVOLUTION LLC, its officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your misuse of our services or website
  • Your violation of these Terms & Conditions
  • Your violation of any applicable laws or regulations
  • Your infringement of any third-party intellectual property rights
  • Any content you provide or actions you take in connection with our services

12. Warranties Disclaimer

Services are provided "as is" and "as available" without warranties of any kind, either express or implied. ENGAGE EVOLUTION LLC expressly disclaims all warranties including:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties regarding the accuracy or completeness of information
  • Warranties that services will be uninterrupted or error-free
  • Warranties regarding results or outcomes of consulting services

13. Force Majeure

ENGAGE EVOLUTION LLC shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, acts of God, or extreme weather events
  • Government actions, regulations, or restrictions
  • Pandemics, epidemics, or public health emergencies
  • Cyberattacks, infrastructure failures, or internet outages
  • Labor disputes or strikes
  • Third-party service provider failures

In the event of a force majeure event, we will notify you as soon as practicable and work to resume services as quickly as possible.

14. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the United States and the State of Missouri, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Missouri. You consent to personal jurisdiction in such courts and waive any objection to venue.

15. Modifications

ENGAGE EVOLUTION LLC reserves the right to modify, update, or replace these Terms & Conditions at any time at our sole discretion. When we make material changes, we will update the "Effective Date" at the top of this document. Your continued use of our website or services after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically to stay informed of any changes.
